- Assist the company with its legal requirements, including the review, advice, and negotiation of agreements and documents.
- Provide counsel on corporate and commercial matters.
- Draft and review resolutions, and update or amend the commercial registration when necessary.
- Ensure the efficient and effective operation of the contract management system to achieve key performance indicators (KPIs).
- Guarantee compliance with laws and regulations, including corporate governance standards.
- Review the minutes from the Board of Directors (BOD), Ordinary General Meeting (OGM), and Extraordinary General Meeting (EGM).
- Oversee and coordinate the approval process for BOD and/or OGM minutes, working with external counsel to ensure legality.
- Manage and supervise external legal counsel.
- Monitor ongoing legal cases handled by external counsel and review their monthly reports.
- Offer legal guidance and assistance to the Human Resources department regarding general employment matters.
- Conduct staff interviews for employees who have violated company policies and advise on potential disciplinary actions.
- Legalize requirements related to capital raises and stock trading in compliance with applicable laws, regulations, ministerial decrees, and instructions from authorities.
- Supervise interactions with certain government entities and regulatory authorities to fulfill all official requirements.
- Prepare and organize all necessary documentation, dealings, and applications that must be submitted to authorities in a timely manner.
- Manage and coordinate the legal department's relationships with other departments.
- Ensure that all legal documents, agreements, memoranda, Articles of Association, and commercial registers across the company's various jurisdictions and offices align with the General Authority for Investment (GAFI) and the Governorate Authority to facilitate smooth operations.
- Provide support to the legal department as needed.
متطلبات الوظيفة
- Bachelor’s degree in Law from a recognized university; Master’s degree or legal diploma is a plus.
- Membership in the Egyptian Bar Association or equivalent certification is preferred.
- 10+ years of relevant legal experience in corporate or commercial law.
- Proven experience in contract review, legal drafting, and compliance.
- Previous experience coordinating with external legal counsel and managing litigation is a plus.
- Experience working with or within financial institutions, banks, or fintech companies is an advantage.
- Strong knowledge of Egyptian laws and regulations, especially corporate, commercial, labor, and regulatory frameworks.
